Transactional Matters

The firm has also represented entrepreneurs and
businesses in various corporate matters. Some of the
business and transactional matters the firm has handled
include:

    •       Organizing and counseling new entities such as
    corporations and limited liability companies,
    including single member limited liability companies;

    •        Representing and negotiating on behalf of
    management, shareholders or other constituents in
    matters relating to corporate control and governance;

    •        Preparing the following types of agreements:
    stock purchase; technology assignment;
    employment; requirements contracts; and reseller
    and distribution agreements;

    •         Advising on a merger and reorganization of a
    California limited liability company into a Delaware
    corporation; and

    •        Drafting and reviewing other agreements,
    including employment contracts, leases and joint-
    venture agreements.
